We are a group of Veterans, Veteran Supporters, and National & Military History Preservationists with the drive, determination, and resources to Restore, Preserve and Protect the Historic Brodhead Naval Armory, in situ and in it's entirety from demolition, destruction or significant alteration, and to prevent an egregious loss of Detroit's premier Military Heritage Site. Which is home to significant Military, State, National, and black history for the citizens of the City of Detroit, the State of Michigan and our Nation. Brodhead Armory activities and contributions are truly World History, worthy of preservation from any party or parties intent on anything less than it's full restoration and preservation.
The Purpose for which the organization is formed are:
a. To operate exclusively for charitable purposes set forth in Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”), including for such purposes the making of distributions to organizations that qualify as exempt organizations under Code Section 501(c)(3).
b. To receive and administer funds; to acquire, invest, dispose of, and deal with real and personal property and interests therein; and to apply gifts, grants, contributions, bequests and devises, and the income and proceeds thereof, in furtherance of the purposes of the Corporation, with all the powers conferred upon it by the provisions of the Michigan Nonprofit Corporation Act (the “Act”) and by the Articles of Incorporation and the bylaws of the Corporation.
c. The purpose of the Brodhead Association is to establish a Community based program that contributes to the revitalized Belle Isles and Detroit Riverfront. The programs will serve the community by providing education STEAM, veterans services, healthy living, and Green programs. Programming will include establishment of the Michigan Veterans Hall of Fame. The Brodhead Association is formed as a Non-profit 501 – C3 organization.
d. Notwithstanding any other provisions of these Articles, the Corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from federal income tax under Code Section 501(c)(3), or by a corporation, contributions to which are deductible under Code Section 170(c)(2).
e. No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, its directors, officers or other private persons, except that the Corporation shall be authorized to pay reasonable compensation for services rendered and to make payments in furtherance of the purposes set forth in Article II.
f. No substantial part of the activities of the Corporation shall be the carrying on or propaganda, or otherwise attempting to influence legislation, (except as provided in Code Section 501(h)) and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.
